1. Introduction

  1. We are Apposite Enterprises Limited ("Apposite") and we provide access to the site.

  2. We are a company limited by guarantee, registered in England and Wales with company number 15928977. Our registered address is 3rd Floor, 86-90 Paul Street, London, EC2A 4NE, United Kingdom.

3. Your agreement to these terms

  1. By using the site you agree to be bound by these Terms and Conditions, including the terms of the following policies:

    1. Privacy Policy; and

    2. Acceptable Use Policy.

  2. The Terms form a legal contract between you and us regarding your use of the site. If you do not agree to the Terms you may not use the site.

  3. Any new features or tools which are added to the current platform shall also be subject to the Terms.

We reserve the right to update, change or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the site following the posting of any changes constitutes acceptance of those changes.

4. Setting up and maintaining your account

The site is not available to (a) any users previously suspended or removed from the site by us or (b) any persons under the age of 13 or otherwise younger than the age of digital consent in the jurisdiction in which they reside. By clicking the "I Agree" button or by otherwise using or registering an account on the site, you represent (i) that you have not been previously suspended or removed from the site by any part of the Apposite; (ii) that you are at least 13 years of age; and (iii) that your registration and your use of the site is in compliance with any and all applicable laws and regulations.

  2. As part of the registration process, you may be asked to provide certain personal data, such as your email address, gender, age, and country. Please see the Apposite's Privacy Policy for further information.

  3. You are responsible for keeping your password secret and your account secure. You are solely responsible for any use of your account, even if your account is used by another person. If any use of your account violates the Terms, your account may be suspended or deleted.

  4. If you have reason to believe that your account is no longer secure (for example, in the event of a loss, theft, or unauthorised disclosure of your password), promptly change your password. If you cannot access your account to change your password, contact us.

5. How you may use material on our site

  1. We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws. All such rights are reserved.

6. Do not rely on information on this site

  1. The content on our site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources.

8. User-generated content is not approved by us

  1. The site may include information and materials uploaded by other users of the site. This information and these materials have not been verified or approved by us. The views expressed by other users on our site do not represent our views or values.

  2. If you wish to complain about information and materials uploaded by other users please contact us.

9. Uploading content to our site

  1. Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy.

  2. You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

  3. We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

  4. You are solely responsible for securing and backing up your content.

10. Rights you are giving us and other users to use material you upload

  1. You (and other users) may post and/or publish notes, questions, comments, ratings, reviews, images, videos and other audio-visual materials and communications (collectively, "User Postings").

  2. You understand that whether or not such User Content is published, Apposite does not guarantee any confidentiality with respect to any submissions.

  3. You are solely responsible for your User Content and the consequences of posting, creating, or publishing them. You agree that:

    1. you are the creator and owner of or have the necessary licenses, rights, consents, and permissions to use and to authorise Apposite and other users to use and distribute your User Content as necessary to exercise the licenses granted by you in these Terms and in the manner contemplated by Apposite and these Terms;

    2. your User Content does not and will not:(a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, or any other intellectual property or proprietary right or (b) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; and

    3. your User Content does not contain any viruses, adware, spyware, worms, or other malicious code.

  4. Access to Your User Content: The Apposite may permit users to share their User Content with a select group of other users, or make their User Content public for all (even non-site users) to view. You acknowledge and agree that, although the site may provide certain features intended to allow you to restrict some User Content you create from others, we cannot guarantee that such User Content will never be accessible by others. In the event of unauthorised access, we will use reasonable efforts to notify you but we shall not be liable for any loss with respect to any unauthorised access to User Content.

  5. When you use the site you will be exposed to User Content from a variety of sources, and we are not responsible for the accuracy, usefulness, or intellectual property rights of or relating to such User Content. You may be exposed to User Content that is inaccurate, offensive, indecent or objectionable, and you hereby waive, any legal or equitable rights or remedies you have or may have against us in this respect.

  6. We have the right to remove any material or posting you make on the site if, in our opinion, such material does not comply with applicable laws, or these Terms.

11. We are not responsible for viruses and you must not introduce them

  1. We do not guarantee that our site will be secure or free from bugs or viruses.

  2. You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

  3. You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

12. Rules about linking to our site

  1. You may link to our home page or pages within the site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

  2. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

  3. Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page.

  4. If we notify you that we do not wish you to link to the site then you will cease to do so immediately.

  5. If you wish to link to or make any use of content on our site other than that set out above, please contact us.

13. Our responsibility for loss or damage suffered by you

  1. We do not accept responsibility for (a) losses not caused by our breach of these Terms or otherwise by our acts; (b) losses which are not reasonably foreseeable by you and us at the time of entering into these Terms; (c) any offensive, inappropriate, obscene, unlawful or otherwise objectionable content sent, done, or posted by others that you may encounter on our platform; and (d) events beyond our reasonable control.

  2. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

14. Suspending or terminating your account

  1. The Apposite has the right at its sole discretion to suspend and/or delete your account if you do not comply with these Terms.

  2. If you want to delete your account, please contact us.

15. Governing law and jurisdiction

In the event of any dispute between you and us concerning these Terms, the laws of England and Wales will apply. If you wish to take court proceedings against us you must do so within England and Wales. However, if you reside elsewhere in the United Kingdom, or in a British Overseas Territory or Crown Dependency, then you may also bring proceedings where you reside.

16. General

  1. In the event of a conflict between a translation and the English version, the English version of these terms will prevail.

  2. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and the Apposite's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

  3. If any provision of these Terms is found by a court or a regulator to be invalid or unenforceable the other provisions of the Terms will continue to apply.

  4. This document, together with the appendices listed below, constitutes the entire Terms and supersedes all previous agreements with the Apposite relating to the use of the site.
